1. Agreement to these terms
These Terms of Service ("Terms") form an agreement between you and Cyprex (Pty) Ltd ("Cyprex", "we", "us" or "our") regarding your use of Cyprex Sheets AI. By installing, accessing or using Cyprex Sheets AI, you agree to these Terms.
If you use Cyprex Sheets AI on behalf of a business or other organisation, you confirm that you are authorised to accept these Terms on its behalf.
2. The service
Cyprex Sheets AI is a Google Sheets add-on that can analyse spreadsheet data, answer questions, summarise information, identify trends and anomalies, and provide AI-generated observations and recommended actions.
Features may change as the service develops, including during beta or testing periods.
3. Account and access requirements
You need a compatible Google account and access to Google Sheets to use the add-on. You are responsible for maintaining the security of your Google account and for all authorised activity performed through it.
4. Your data and instructions
You retain ownership of the data, prompts and other content you submit through Cyprex Sheets AI. You grant Cyprex the limited rights necessary to process that content solely to operate, secure, support and improve the service.
You must have all rights and permissions required to process the data you submit. Do not use Cyprex Sheets AI to process information in a way that violates applicable law, confidentiality obligations, contractual restrictions or the rights of another person or organisation.
5. AI-generated output
Cyprex Sheets AI uses artificial intelligence to generate responses. AI output may be incomplete, inaccurate, outdated, inconsistent or inappropriate for a particular purpose.
You are responsible for reviewing and validating output before relying on it. Cyprex Sheets AI does not replace professional accounting, financial, legal, medical, tax, compliance or other specialist advice.
6. Acceptable use
You may not use Cyprex Sheets AI to:
- break applicable law or infringe the rights of others;
- attempt to bypass authentication, usage limits, security controls or technical restrictions;
- interfere with, overload, reverse engineer or disrupt the service, except where applicable law expressly permits such activity;
- introduce malicious code or attempt unauthorised access to Cyprex or third-party systems;
- use credentials, API keys or access mechanisms belonging to another person without permission; or
- submit content that you do not have authority to process.
7. Usage limits and fair use
Cyprex may apply reasonable request, spreadsheet-size, rate, account or other limits to protect service reliability, control cost and prevent abuse. Limits may differ by plan, test environment or service version and may change over time.
8. Third-party services
Cyprex Sheets AI depends on third-party platforms and services, including Google Workspace, Google Cloud and AI service providers such as OpenAI. Your use of those platforms may also be subject to their own terms and policies. Cyprex is not responsible for outages, policy changes or failures caused by third-party services outside our reasonable control.
9. Intellectual property
Cyprex and its licensors retain all rights in Cyprex Sheets AI, including its software, branding, design, documentation and underlying technology. Except for the limited right to use the service under these Terms, no rights are transferred to you.
10. Beta and testing features
Some versions or features may be labelled beta, preview, testing or experimental. These features may be changed, suspended or removed and may be less reliable than generally available features. You should not rely on beta features for critical workflows without appropriate independent checks and backups.
11. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may update, suspend or discontinue parts of Cyprex Sheets AI where reasonably necessary for maintenance, security, compliance, product development or commercial reasons.
12. Fees
Cyprex may offer free, trial or paid access to Cyprex Sheets AI. Where paid plans are introduced, pricing, billing terms and included usage will be presented before charges apply. Unless otherwise stated, taxes and third-party charges are your responsibility.
13. Suspension and termination
You may stop using Cyprex Sheets AI at any time. Cyprex may suspend or terminate access where reasonably necessary to address security risks, unlawful use, material breach of these Terms, non-payment for a paid service, abuse of the platform or threats to service availability.
14. Disclaimers
To the maximum extent permitted by law, Cyprex Sheets AI is provided on an "as is" and "as available" basis. We do not guarantee that AI output will be accurate, complete or suitable for your particular purpose.
Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by applicable law, Cyprex will not be liable for indirect, incidental, special, consequential or punitive loss, loss of profits, loss of business opportunity, or loss or corruption of data arising from use of Cyprex Sheets AI.
Where liability cannot lawfully be excluded, Cyprex's liability will be limited to the extent permitted by applicable law.
16. Privacy
Our handling of personal information and spreadsheet data is described in the Cyprex Sheets AI Privacy Policy.
17. Changes to these Terms
We may update these Terms as the service evolves. The current version will be published on this page with an updated effective date. If a change materially affects your rights or obligations, we may provide additional notice where appropriate.
18. Governing law
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory consumer or other legal protections that apply in your jurisdiction.
